Terms of Service

1. Who we are

Cortex (getcortex.org) is operated by Rubber Ducky (“Rubber Ducky”, “we”, “us”), a studio based in the Netherlands. Questions about these terms: hello@getcortex.org. By creating an account or using Cortex you agree to these terms.

2. The service

Cortex is an external brain for teams and projects: you capture knowledge as neurons, organise it into projects and teams, and access it from AI assistants over the Model Context Protocol (MCP) and a REST API. Features vary by plan as described on the pricing page. We may evolve, add, or retire features; if a change materially reduces a paid plan, we will tell you before your next renewal.

3. Accounts

You need an account to use Cortex. Keep your credentials and API keys confidential — actions taken with them count as yours. You must be at least 16 years old and provide accurate information. One person per account; team members each use their own.

4. Subscriptions & billing

Paid plans are billed monthly, in advance, in euros. Prices include Dutch VAT where applicable. Payment runs through Revolut; we never see or store your card details. Subscriptions renew automatically each month until cancelled. The Team plan includes five members; extra members are billed per seat per month as listed on the pricing page. We send an invoice for every charge.

Free trials: starting a 7-day trial saves your payment method without charging it. Unless you cancel before the trial ends, the trial converts automatically to a paid subscription and the plan price is charged to your saved card. We remind you by email before the first charge, and you can cancel any time during the trial at no cost from Settings → Billing.

If a renewal payment fails, we retry over the following days; after repeated failures the account moves to the Free plan. Your data is never deleted because of a failed payment.

5. Cancellation & refunds

You can cancel any time from Settings → Billing. Cancellation takes effect at the end of the paid period: you keep your plan until the date your next renewal would have occurred, and no further charges are made. You can resume before that date with one click.

We do not offer refunds, including for partial months or unused features. Because Cortex is a digital service that starts immediately, you expressly request immediate performance when subscribing and acknowledge that you thereby lose the EU 14-day right of withdrawal (art. 16(m) Consumer Rights Directive).

6. Your content

Everything you store in Cortex — neurons, files, captures — remains yours. You grant us only the licence needed to operate the service: storing, indexing, embedding, and returning your content to you and the people you share it with. Your content is never used to train AI models. You can export everything or delete your account (30-day grace window) at any time; see the security page.

7. AI processing & credits

Cortex uses third-party AI models to analyse and search your content. When you bring your own provider key, calls run on your account with that provider. Otherwise calls run on Cortex credits — a monthly budget included in your plan that resets each month and does not roll over or convert to money. Fair-use applies: automated abuse of the AI budget may be throttled.

8. Acceptable use

Don’t use Cortex to store or distribute unlawful content, to infringe others’ rights, to probe or disrupt the service, or to resell access. We may suspend accounts that endanger the platform or other users, and will tell you why unless legally prevented.

9. Availability & liability

We aim for high availability but provide Cortex “as is” without a specific uptime guarantee. To the maximum extent permitted by law, our total liability for any claims arising from the service is limited to the fees you paid us in the twelve months before the claim. Nothing in these terms limits liability for intent or gross negligence, or your statutory rights as a consumer.

10. Changes & governing law

We may update these terms; material changes are announced by email or in-app at least 30 days before they take effect, and continuing to use Cortex after that constitutes acceptance. These terms are governed by Dutch law; disputes go to the competent court in the Netherlands, without prejudice to mandatory consumer protections in your country of residence.
